License Agreement
VectorCare Developer Platform

This License Agreement ("License") governs your use of the VectorCare Developer Platform software, APIs, SDKs, documentation, and related materials (collectively, the "Software") provided by VectorCare, Inc. ("VectorCare"). This License is incorporated into and subject to the VectorCare Developer Platform Terms of Service ("Terms of Service"). Capitalized terms not defined here have the meanings given in the Terms of Service.
By accessing, downloading, or using any part of the Software, you agree to this License.
1. License Grant
1.1 Platform License
VectorCare grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely to build, configure, test, and submit SMART on FHIR Applications through the Platform.
1.2 API License
If VectorCare provides API access, you may use VectorCare APIs solely to integrate with the Platform as documented. API use is subject to rate limits, authentication requirements, and usage policies published at vectorcare.dev/docs. VectorCare may modify API specifications with reasonable notice.
1.3 Documentation License
VectorCare grants you a limited license to use Platform documentation for the sole purpose of building and configuring Applications. You may not reproduce, distribute, or publish documentation except for internal use within your organization.
2. Restrictions
You may not, and may not permit any third party to:
- Copy, modify, or create derivative works of the Software, except as expressly permitted by the Builder Tools' intended functionality
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Software
- Sublicense, sell, rent, lease, transfer, or distribute the Software or access to the Platform
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software to build, train, or improve any competing product, service, or AI model
- Use automated scripts, bots, or crawlers to access the Platform beyond the provided APIs
- Exceed documented API rate limits or circumvent usage controls
- Use the Software outside the scope of the license granted in Section 1
3. Ownership
3.1 VectorCare IP
VectorCare and its licensors retain all right, title, and interest in the Software, including all patents, copyrights, trademarks, trade secrets, and other intellectual property rights. This License does not convey any ownership interest in the Software.
3.2 Your Applications
Subject to Section 3.1, you retain ownership of the Application configurations and Customer Content you create using the Platform. Your ownership is limited to the original content and configurations you provide. It does not extend to the underlying Platform technology, FHIR templates, AI models, or VectorCare infrastructure used to generate or host those configurations.
3.3 Generated Configurations
Application configurations generated by the Builder Tools (including FHIR resource mappings, scope definitions, and suggested workflows) are produced using VectorCare's proprietary AI and templates. You receive a license to use these generated configurations within Applications built on the Platform. You may not extract generated configurations for use in competing platforms or services.
3.4 Open Source Components
The Software may include open source components. Each component is licensed under its own applicable open source license, and nothing in this License restricts or limits your rights under those licenses.
4. AI-Generated Output
4.1 Ownership of AI Output
Configurations, recommendations, and other output generated by the Builder Tools ("AI Output") are provided to you under license for use within the Platform. You may use AI Output in your Applications. VectorCare retains the right to use similar or identical outputs when serving other users.
4.2 No Exclusivity
AI Output is not exclusive to you. The Builder Tools may generate similar or identical configurations for other users with similar inputs. You have no claim of exclusivity over any AI Output.
4.3 Accuracy Disclaimer
AI Output is generated by machine learning models and may contain errors. VectorCare makes no representation or warranty regarding the accuracy, completeness, or fitness of AI Output for any purpose.
5. Data Use
5.1 Usage Data
VectorCare collects data about how you interact with the Platform ("Usage Data"), including feature usage, session duration, configuration patterns, and error logs. Usage Data is used to operate, maintain, and improve the Platform.
5.2 Anonymized and Aggregated Data
VectorCare may create anonymized and aggregated datasets from Usage Data and Platform activity. These datasets will not identify you or your organization. VectorCare may use this data for product development, research, benchmarking, and marketing.
5.3 No Sale of Personal Data
VectorCare does not sell personal data. Our handling of personal information is governed by our Privacy Policy.
6. Support and Updates
6.1 Platform Updates
VectorCare may update, modify, or discontinue features of the Software at any time. We will provide reasonable notice before discontinuing core functionality. Updates may be applied automatically.
6.2 Support
Support for the free builder tier is provided on a commercially reasonable, best-effort basis through documentation and community resources. Dedicated support is available under a Deployment Agreement.
6.3 Backward Compatibility
VectorCare will make commercially reasonable efforts to maintain backward compatibility for published APIs. If a breaking change is required, we will provide at least sixty (60) days' notice and migration guidance.
7. Term and Termination
7.1 Term
This License is effective from the date you first access the Software and continues until terminated.
7.2 Termination
This License terminates automatically upon termination of the Terms of Service. VectorCare may also terminate this License immediately if you breach any of its terms.
7.3 Effect of Termination
Upon termination, you must cease all use of the Software and delete any copies in your possession. Your right to use AI Output and generated configurations within previously deployed Applications survives termination, subject to any active Deployment Agreement. Sections 2, 3, 4, 8, and 9 survive termination.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." VECTORCARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VECTORCARE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR VULNERABILITIES.
9. Limitation of Liability
VECTORCARE'S LIABILITY UNDER THIS LICENSE IS SUBJECT TO THE LIMITATIONS SET FORTH IN THE TERMS OF SERVICE. IN NO EVENT WILL VECTORCARE BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUT, INCLUDING DAMAGES RESULTING FROM INACCURATE FHIR CONFIGURATIONS, INCORRECT SCOPE DEFINITIONS, OR UNSUITABLE APPLICATION DESIGNS.
10. Export Compliance
You agree to comply with all applicable U.S. export control laws and regulations. You will not export or re-export the Software to any country, entity, or person prohibited by law.
11. U.S. Government End Users
If you are a U.S. government entity, the Software is provided as "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212 and DFARS 227.7202. Use, reproduction, and disclosure are governed by this License.
12. General
12.1 Entire Agreement
This License, together with the Terms of Service, constitutes the complete agreement regarding the Software and supersedes all prior agreements on this subject.
12.2 Conflict
If this License conflicts with the Terms of Service, the Terms of Service control, except where this License specifically addresses Software-related rights not covered in the Terms of Service.
12.3 Governing Law
This License is governed by the laws of the State of California, without regard to conflict of laws principles, consistent with the Terms of Service.
12.4 Amendments
VectorCare may update this License by posting a revised version at vectorcare.dev/license. Material changes will be communicated via email at least thirty (30) days before taking effect.
